Covenants, Conditions, Restrictions and Reservations
of Shelter Lakes

made and entered into this 24th day of November, 1992, by and between RAYMOND C. HAWKINS CONSTRUCTION CO., INC., a Virginia corporation, successor in interest by merger to RCH LAND SALES, INC., a Virginia corporation, pursuant to a Certificate of Merger effective as of August 28, 1990, issued by the State Corporation Commission of the Commonwealth of Virginia ("Declarant" or "Hawkins Construction"), party of the first part; SHELTER LAKES, INC., a Virginia not-for-profit corporation ("Association"), party of the second part; PETER H. LUXHOJ, Sole Acting Trustee ("Trustee"), party of the third part; and, CENTRAL FIDELITY BANK, a Virginia banking corporation ("Beneficiary"), party of the fourth part.

WHEREAS, Declarant, with respect to the Lots, and Association, with respect to the Parcels, are the sole owners and proprietors of certain property located in the County of Prince William, Commonwealth of Virginia, known as SHELTER LAKES, Section 1, containing Lots 1 through 25, both inclusive, Parcel A, Parcel B, and Parcel C (collectively the "Properties"), as the same has been duly dedicated, platted and recorded in Deed Book No. 1931, at page 700, among the said County land records; and,

WHEREAS, by credit line deed of trust, assignment and security agreement dated October 28, 1992, and recorded in Deed Book No. 1936, at page 757, among said County land records ("Deed of Trust"), the party of the first part conveyed Lots 1 through 25, both inclusive, SHELTER LAKES, Section 1, and other land to Peter H. Luxhoj and G. Andrew Nea, Jr., Trustees, either of whom may act, securing unto Central Fidelity Bank payment of the sum of $960,000.00, evidenced by a promissory note and other indebtednesses, as more fully set forth therein ("Obligations"); and,
